TERMS AND CONDITIONS OF TABLO

Valid for the use of the Tablo application and platform ("Service").

1. Owner of Tablo and the Services

Tablo S.r.l. is the Data Controller for users' personal data, as it determines the purposes and means of processing (clarification required by the audit).

2. Information about Tablo and TabloPoint

Tablo is an application available on the App Store and Google Play that allows registered users to create and/or participate in Virtual Tables in order to organize real meetings at restaurants, venues or food service establishments.
The platform facilitates connections between people with similar interests and the realization of shared social experiences, but does not directly manage table reservations: such reservations are made independently by Organizer users through other channels, unless different agreements are made between participants.

TabloPoint is a web platform integrated with and dependent on the Tablo app, designed for restaurants, bars and venues that wish to promote their space as a meeting point for the Tablo community. Through TabloPoint, venues can create themed events, manage tables, promote offers and increase their visibility within the app.

Although it is a direct integration of the Tablo ecosystem, TabloPoint is reserved exclusively for registered commercial establishments.

The specific conditions of TabloPoint are governed in section 18 of these Terms and Conditions ("TabloPoint Regulation").

3. Content provided by the User

The content provided by the User (gender, age, nationality, languages spoken, interests, images and any other information that may concern requested personal data), is used to make their status known to other users of the service, so that they can organize their Virtual Table with people who, as much as possible, share the same interests, live or are in the same location, are the same age and/or share interests (passions, culture and sports).
This application gives the User the possibility to organize the Virtual Table with other Users at the chosen venue or restaurant, but does not allow reservations to be made.
Users are responsible for their own content and that of third parties that they share on Tablo, by uploading and/or inserting content in any way. Users indemnify the Owner from any liability in relation to the illicit dissemination of third-party content or the use of Tablo in ways that are contrary to the law.
The Owner of Tablo will not make any type of modification relating to the content published by the User or by third parties, but undertakes to intervene in response to reports from Users or orders/reports issued by public authorities in relation to content deemed offensive or contrary to legal regulations.
Tablo cannot be held responsible for the content published by users or for interactions that occur outside the platform. Responsibility for the use of personal data shared publicly or privately falls exclusively on the user who discloses it.

3.1 Off-platform liability

Tablo is not responsible for behaviors or interactions between users that occur outside the application, including – by way of example but not exhaustively – stalking, harassment, abuse, threats or any other form of non-consensual interaction.

Each user is solely and directly responsible for their own actions and communications, even if originated or facilitated through the use of the Tablo platform.

3.2 Moderation and interventions

Tablo reserves the right to moderate, modify, obscure or remove any content that does not comply with these guidelines. At the platform's discretion, users who do not comply with the rules may be subject to:

Tablo may also monitor and control content shared by users, using automatic moderation tools and manual review, to ensure a safe experience for all users. Use of the platform implies explicit acceptance of these conditions.

3.3 Data protection and processing

Tablo is committed to ensuring, in compliance with Regulation (EU) 2016/679 (GDPR) and applicable national legislation, full respect for the fundamental rights and freedoms of users, ensuring a high level of protection of privacy and personal data protection.

Data processing is designed to minimize the risks of unauthorized access, loss, alteration or misuse, by adopting adequate technical and organizational security and prevention measures.

Users are recommended to use complex, unique passwords that are not shared with third parties to access Tablo services. The Owner cannot be held responsible for the improper use of access credentials or for any damage resulting from their disclosure.

In the event of a personal data breach (data breach), Tablo undertakes to promptly notify the affected users and, where required, the Data Protection Authority, adopting all necessary corrective and mitigation measures.

In compliance with the principles of transparency and accountability, Tablo's informational and contractual documents include the data of the Data Controller, the contacts of the Data Protection Officer (DPO) and information on purposes, legal bases, data subject rights and how to exercise such rights.

4. Third-party Content/Services

Part of the information and content present on Tablo, relating to venues, establishments or services (such as descriptions, images, addresses, reviews or contact data), may come from public sources or third-party API services, including, by way of example but not exhaustively, Google, Yelp and other technology providers.

Such data is publicly accessible and Tablo allows its consultation exclusively for informational purposes and to support the use of the platform. The use of such content is subject to the terms and conditions and usage policies of the respective third-party providers.

Tablo does not exercise any preventive or subsequent control over the accuracy, updating or availability of information from such sources and cannot be held responsible for any inaccuracies, service interruptions, modifications, deletions or malfunctions of external content and services.

Users acknowledge that access to such third-party data or services occurs under their exclusive responsibility, and that acceptance of the relevant policies and terms of use is necessary for the use of external functionalities that may be integrated into the platform.

5. Registration and use of the Service

5.1 Registration requirements

To use the Service, or part of it, users must register by providing truthful, complete and updated data, as required in the relevant registration form, and fully accept the Privacy Policy and these Terms and Conditions of use.

The user is required to diligently safeguard their access credentials and not to share them with third parties. Tablo cannot be held responsible for the improper use, loss or unauthorized disclosure of access credentials by the user.

Access to the platform can occur via Google, Apple, Facebook or email address, in compliance with the authentication policies of the respective providers. In such cases, the data necessary for access is processed in accordance with Regulation (EU) 2016/679 (GDPR) and the privacy notices of the third parties that manage authentication.

5.2 Profile and visible data

During registration, the user creates a personal profile, whose data may be partially visible to other users in order to allow interaction and the creation of Virtual Tables.
Visible information may include: name, online/offline status, gender*, age, zodiac sign**, interests, nationality, language and approximate geographic location.

* Gender and "other" option: the app supports inclusive choices; data collection is justified by the social purpose and matching, in compliance with the minimization principle.
** Date of birth and zodiac sign: the inference of the sign falls within profiling activities aimed at suggesting compatible tables; such activities are described in the privacy notice, with indication of purposes, basic logic and rights of opposition and limitation.

5.3 Service usage methods

5.3.1 Application download

The Tablo app can be downloaded free of charge from the Google Play Store and Apple App Store.
By downloading the application, the user undertakes not to engage in behaviors that may cause damage to other users or third parties, including – by way of example – insults, defamation, bullying practices or improper use of personal data.

5.3.2 Registration and access

After downloading the application, the user can register via registration form or via social accounts (Facebook, Google, Apple).
The data entered will form the user profile, partially visible to other users, in line with the social purpose of the platform.

Once registration is completed, the user can choose from different usage offers, each with the specific limitations and rights described in these Terms.

5.4 Creation and participation in Virtual Tables

5.4.1 Creation of a Virtual Table

The registered user can create a Virtual Table by selecting, from the available options:

Users can consult the Virtual Tables available in the app's Showcase, viewing their description, date, participants and organizer preferences.
To participate, the user must click on "PARTICIPATE/ENTER", becoming an actual participant of the Table. From that moment, their profile data will be visible to other table members. Participating users can communicate with each other via the dedicated chat, in order to organize and update event details.

5.4.3 Invitations

Each user can invite contacts or other Tablo users to join the Virtual Table via the "Invite" function. Invited users who accept become full participants of the table.

5.4.4 Cancellation from the virtual table

After an event takes place, users can report the presence or absence of participants via the "Tables – Evaluations" function.
The average of presences and absences determines the user's reliability score.
Users who cancel participation within 6 hours of the event are subject to negative evaluation.

5.5.2 Reports

The evaluation function also allows reporting inappropriate behaviors.
Users who receive more than 5 reports will have a warning badge ("!") on their profile with the wording "has received multiple reports".
Tablo reserves the right to limit or suspend the account of users with repeated reports.

5.5.3 Reliability level

The reliability level, visible on the profile, is determined by the average of presences and absences at tables:

The organizer can exclude from the table, via the "X" button, users with low reliability or for absenteeism in chat.

5.5.4 "Match" Functionality (v. 4.0.45+)

Users who, after an event, mutually express high compatibility can view the match and access a dedicated chat. The function is active only for Pass or Premium users who have accepted the updated Terms and provided a compatible evaluation.


5.6 Free and paid services

5.6.1 Payment methods

If the user chooses a paid plan, payment is made via iTunes Store or Google Play Store, according to the methods provided by the respective stores.
Tablo may in the future activate additional payment methods (e.g. credit card, PayPal, prepaid card).

Cancellation of a subscription takes effect within 24 hours of the request. Tablo reserves the right to correct any billing errors even after payment.

5.6.2 Automatic renewal

Subscriptions are automatically renewed for periods equivalent to the original one, at the price in effect at the time of subscription, until eventual cancellation by the user.
Renewal can be deactivated at any time from the settings of your store:

Tablo may activate promotional periods or special offers of variable duration, which allow free or discounted use of some app functionalities.
Tablo reserves the right to modify or discontinue such promotions at any time, without obligation of notice.

6. Indemnity Clause

The User undertakes to hold harmless and indemnify Tablo S.r.l., its controlled and affiliated companies, as well as their representatives, administrators, agents, licensees, partners and employees, from any claim, damage, loss, cost, expense or liability (including legal and judicial expenses) arising from:

Users undertake to use Tablo in full compliance with the law, good faith and these Terms and Conditions.

8. Privacy, profiling and automated decisions

We refer to the Privacy Policy for purposes, legal bases, retention periods, recipients and rights. Tablo performs profiling (e.g. interests, zodiac sign, reliability/presences) to suggest tables and improve matching: the User is informed about basic logic, purposes and consequences, and can exercise the rights of opposition, access, rectification, deletion, limitation, portability, as well as the right not to be subject to solely automated decisions that produce significant legal effects, except for legal exceptions.

9. Copyright

All trademarks of the Application, figurative or nominal, and all other signs, trade names, service marks, word marks, commercial names, illustrations, images, logos that appear regarding Tablo are and remain the exclusive property of the Owner or its licensees and are protected by applicable trademark laws and related international treaties.

10. Age requirements

Users declare that they are of legal age according to the legislation applicable to them. Tablo assumes no responsibility regarding false declarations provided by Users about the declared personal data. Tablo is not responsible for false declarations.

11. Definitions (excerpt)

Chat
The interface that allows Users to chat to organize themselves if they decide to participate and/or create a Virtual Table. The Chat will be accessible only if the User has taken part in or created a Virtual Table. Only the Organizers and Participants of each Virtual Table can take part in the Chat, as the objective of the Chat is to allow interaction between Participants and Organizers of the individual Event.

Event/s
Meetings are understood, by way of example and not exhaustively: breakfasts, lunches, aperitifs, dinners, after dinner, at venues or food service establishments. Such Events are organized by Users via Virtual Tables.

Organizer/s
The User who creates a table on the "Tablo" platform in the manner described in the following Terms and Conditions, or whoever takes their place. The Organizer will be distinguished by a yellow star.

Participant/s
The User who decides to participate in a Virtual Table created by an Organizer on the "Tablo" platform in the manner described in the following Terms and Conditions.

"Tablo" Platform
The application downloadable by Users that allows the use of the Service.

Profile
The set of data, personal and otherwise, requested from the User during registration that allows identification and knowledge of preferences. The User acknowledges that their Profile can be consulted by other Users of the "Tablo" Platform. The data subject of each User's Profile are: name, status (online/offline), gender, interests, nationality, language, approximate geographic location (including information about the approximate distance or proximity between Users – whether they are present in the place of residence or are traveling).

Service/s
The service offered by Tablo as described in these Terms and viewable within the Tablo platform.

Virtual Table/s
Tool that allows Tablo users to propose an event, in order to organize a meeting, and possibly subsequently and independently book a real table, at the chosen venue.

Exclusive Table/s
A Virtual Table is understood, generally created through a "premium" subscription, and/or paid, where there are participation restrictions, decided by the Organizer. The main restrictions may concern age, languages spoken or gender. Tablo, however, reserves the right to add or eliminate one or more of the restrictions at a later time.

Terms and conditions
These general service conditions, which constitute a legally binding agreement between the User and the Owner.

User
The natural or legal person who uses the "Tablo" Platform. It is clear that any User can be both an Organizer and a Participant of Virtual Tables.

Showcase
Interface present in the "search" button, where it is possible to view all the virtual tables created by users.

12. Limitations of liability

The Owner, within the limits of applicable legislation, is liable for contractual and extra-contractual damages to Users or third parties exclusively when these constitute an immediate and direct consequence, due to willful misconduct or gross negligence, of Tablo's activity.

The User expressly exonerates and relieves the Owner of the Application from any liability, within the limits permitted by applicable legislation, in relation to any damages or claims of any type and kind, their own and/or third parties including direct or indirect damages to persons or things, punitive, incidental, special, damages resulting from lost profits, lost revenues, loss of data or replacement costs arising from or in any way connected with this agreement.

13. Changes to the Terms

The Owner reserves the right to make changes to these Terms, at any time and for reasons it deems most appropriate for purposes related to the dissemination of the service.

The Owner will inform the User base promptly regarding any subsequent changes, by publishing specific and targeted notices within the application where their explicit consent to the new conditions will be required before they take effect.

The User who decides to continue using the services offered by Tablo following the modification(s) of one or more parts of the same made by the Owner, will automatically accept the new Terms.

14. Assignment

The Owner reserves the right to transfer, assign, dispose of by novation or subcontract all or some of the rights or obligations arising from these Terms, provided that the User's rights provided for herein are not prejudiced. The User may not assign or transfer in any way their rights or obligations under these Terms without the written authorization of the Owner.

15. Communications

Communications relating to Tablo must be sent to the contacts indicated in 1.1 or to the DPO in 1.2. All communications relating to Tablo must be sent using the indicated contact information.

16. Partial nullity

If any provision of these Terms should be deemed null, voidable or, more generally, ineffective, such defect will not imply the nullity, voidability or ineffectiveness of the remaining provisions of the same, which will continue to have full force.

Any provision of these Terms that is declared invalid will be modified in good faith so as to conform to the renewed validity requirements or balanced criteria of onerousness and, thus modified, will be considered a provision of these Terms from the beginning.

17. Applicable law, jurisdiction and ADR

These Terms and all disputes regarding the execution, interpretation and validity of this contract are subject to Italian law.

The parties undertake to make a preliminary attempt at conciliation, by means of a communication to be sent to the addresses of the Owner of the Application, containing the details regarding the disputed issue. If within 60 days of the aforementioned request, the attempt at conciliation has not given a positive outcome, the parties undertake to devolve the dispute, within the limits of applicable legislation, to the jurisdiction of the Italian courts, with exclusive jurisdiction identified in the court of Rome, or in the court of residence or domicile of the consumer.

In the event of a dispute relating to the use of the application, the parties will undertake to resolve the matter through arbitration, as an alternative method of dispute resolution. Details on the arbitration, including the process and the arbitration venue, will be provided in communications to the interested users.


18. Tablo Point Regulation (Tablo for Business)

18.1 Definition and registration requirements

Tablo Point means any venue (restaurant, pub, wine bar, game room or similar establishment) that joins Tablo's B2B service, registering on the business.tabloapp.com platform.
Registration is carried out by natural persons who declare that they can represent and manage the venue in any capacity (owners, mandataries, managers or store managers).

At the time of registration, the user:

Subsequently, the user matches the venue to their profile, entering:

The data serves to make the venue visible and identifiable on the Tablo platform, to allow its commercial management and to link it to the manager's profile.

18.3 Available commercial plans

18.4 Reservation management and transparency

Reservations relating to tables or events are managed directly by users as organizers. Tablo does not intervene in the operational management of reservations and assumes no responsibility regarding their outcome or the use of food services at the selected venues.

The management system integrated into the platform allows entering, in the venue's information card, a telephone contact number to receive any reservation requests or operational communications. If the selected venue does not have availability, the organizer can inform participants and modify the event location directly through the application.

After the date and time of the table's conclusion, each participant is asked to evaluate the presence or absence of other users. An automatic verification algorithm processes this information to monitor actual participation, ensuring transparency and correctness in the calculation of covers and in determining the reliability level of participants.

Categories of data subjects: natural persons who register and operate on the business platform on behalf of a venue.

Categories of data processed:

Purposes and legal bases of processing (Art. 6 GDPR):
a) Contract performance (Art. 6, par. 1, lett. b): registration, venue-user matching, business plan management, customer support, billing and related obligations;
b) Legal obligation compliance (Art. 6, par. 1, lett. c): accounting, tax and regulatory;
c) Legitimate interest of the Controller (Art. 6, par. 1, lett. f): cybersecurity protection, fraud and abuse prevention, service improvement, dispute management;
d) Consent (Art. 6, par. 1, lett. a): for promotional activities or B2B commercial communications not strictly related to the subscribed service.

Some providers may process data in countries outside the EU; Tablo guarantees the adoption of Standard Contractual Clauses and adequate security measures (Arts. 44–49 GDPR).

18.5.4 Data subject rights (Arts. 15–22 GDPR):
Business users can at any time exercise the rights of access, rectification, deletion, limitation, portability, opposition or consent revocation, by writing to info@tabloapp.com or the DPO. The right to file a complaint with the Data Protection Authority remains.

18.6 Payments and Stripe management

Payments for Tablo Point plans are made through Stripe Payments Europe Ltd., which processes payment data (card number, expiration, CVV) as an independent controller.
Tablo receives from Stripe only transaction outcomes (e.g.: status, payment method ID, last digits of the card) in order to manage billing and activation of business plans. Stripe is responsible for the security and encryption of payment data according to its own PCI DSS standards. For more information on data processing by Stripe, please refer to its privacy notice available at stripe.com/privacy.

18.7 Data security

Tablo adopts adequate technical and organizational measures (Art. 32 GDPR) to protect venue and business user data, including encryption of sensitive data, access segmentation, system log recording and periodic security checks. In case of processing that entails high risks (e.g. B2B profiling or event geolocation), Tablo performs or updates an Impact Assessment (DPIA) in compliance with Articles 35 and 36 GDPR.

18.8 Communications and support

For any information or technical and commercial support, Tablo Point users can contact: business@tabloapp.com (operational support).

18.9 Acceptance

Registration as Tablo Point implies full acceptance of this Regulation and the General Terms and Conditions of Tablo, as well as the related Privacy Policy.
In case of conflict, the provisions of Regulation (EU) 2016/679 – GDPR and Italian implementing legislation prevail.

19. Code of Ethics (excerpt)

Principles: non-discrimination, compliance with regulations, management of conflicts of interest, confidentiality, valorization of people, transparency.
Conduct: clear criteria for suppliers/partners; merit/fairness for collaborators; quality towards customers; prohibition of gifts that influence decisions.
Implementation: reports (whistleblower protection), training, proportionate sanctions.

20. Security, DPIA and upcoming activities (compliance)

Tablo maintains technical/organizational measures proportionate to risks (Art. 32 GDPR), updates appointments and internal policies, verifies external parties to be appointed as Processors, defines authorizations/instructions to authorized persons, and evaluates/conducts a DPIA for high-risk processing (profiling/matching/location), as per audit planning.
